1. Introduction

This Blnk Partner Program Agreement (“Agreement”) is a binding contract between Blnk Finance Ltd. (“Blnk,” “we,” “us,” or “our”) and you (“Partner,” “you,” or “your”).

By applying to or participating in the Blnk Partner Program (“Program”), you agree to comply with this Agreement and all referenced policies.

The Blnk Partner Program aims to collaborate with institutions and organizations to empower developers and organizations worldwide with the tools and support needed to build quality financial products. The Program provides eligible partners with access, incentives, and joint visibility opportunities to promote Blnk products within their network.

2. Partner Programs

We guarantee that Managed Core will maintain a monthly uptime of 99.9% or higher for transaction processing.

  • For coding schools, fintech programs, academies, or labs integrating Blnk into their curriculum.
• Community partners:‍
  
  • For developer communities, hubs, or online groups promoting fintech or software development.‍
• Startup partners:‍
  
  • For venture firms, accelerators, and incubators supporting portfolio companies.‍
• Build partners:
  
  • ‍For developer agencies, studios, and software consultancies that integrate Blnk into client projects.

3. Partner Obligations

You agree to:

1. Program Participation – Promote Blnk products in good faith, in accordance with brand guidelines and approved messaging.
2. Accurate Representation – Represent themselves truthfully as a “Blnk Certified Partner” only after official onboarding and approval.
3. Referral Integrity – Use official referral links, dashboards, or discount codes to track customer conversions.
4. Compliance – Adhere to all applicable laws and Blnk’s Terms of Service, Privacy Policy, and Security Policy.
5. Reporting – Provide periodic updates on outreach, adoption metrics, or curriculum impact where applicable.
6. Confidentiality – Maintain strict confidentiality over any non-public Blnk information.

4. Blnk Obligations

Blnk will:

1. Provide Partner access to official resources including logos, guides, onboarding kits, and documentation.
2. Maintain a transparent referral and rewards platform for eligible payouts.
3. Offer technical support based on the Partner track.
4. Communicate updates, new product features, and partner-related opportunities in a timely manner.

5. Intellectual Property

1. Each Party retains ownership of its own intellectual property, including trademarks, software, and content.
2. Partners may use Blnk’s logo and materials solely for Program-related promotion, subject to brand guidelines.
3. No license or ownership transfer is granted beyond this limited promotional use.

6. Confidentiality

Both Parties agree to keep non-public information confidential, use it only for partnership purposes, and protect it with reasonable security measures.

This obligation survives for four (4) years after termination.

7. Termination

1. Blnk may terminate this Agreement at its sole discretion at any time by providing Partner with sixty (60) days’ written notice.
2. Either Party may terminate this Agreement if the other Party materially breaches any obligation under this Agreement and fails to remedy the breach within thirty (30) days after receiving written notice.
3. Either Party may terminate immediately if the other Party becomes insolvent, enters bankruptcy, or is unable to continue its business operations.
4. This Agreement may also be terminated at any time if both Parties agree in writing.
5. Effect of Termination
   • Termination does not affect obligations that arose before the effective termination date.
   • Partner must pay all outstanding fees owed to Blnk up to the termination date.
   • Sections relating to confidentiality, intellectual property, exclusivity, and governing law will survive termination.

8. Limitation of Liability

Blnk shall not be liable for indirect, incidental, or consequential damages arising from this Agreement.

Blnk’s total liability shall not exceed the total referral payments made to Partner within the twelve (12) months of this agreement.
